한화의 모기업은 앞서 2024년 오스탈의 모회사 전체 인수를 추진한 바 있다. 이제 양사의 미국 법인이 합쳐질 가능성이 제기되고 있다.

워싱턴 — 한국 한화에어로스페이스의 자회사인 한화디펜스 USA가 오스탈 USA를 인수하기 위한 예비적이고 비구속적인 제안을 제출했다고 회사가 오늘 밝혔다.

한화디펜스 USA 대변인 제임스 휴잇은 성명에서 “어떠한 거래든 새롭게 공개된 정보를 포함해 오스탈 USA의 사업과 재무 상태를 철저히 평가할 수 있도록 하는 실사를 전제로 한다”고 밝혔다. 그는 이어 “한화는 미국 조선업 재건에 크게 기여하는 것을 우선 과제로 삼고 있으며, 미국 내 입지를 확대하기 위한 다양한 방안을 검토하고 있다”고 말했다.

오스탈 USA의 모회사인 호주 오스탈은 오늘 발표한 재무 가이던스에서 “오스탈 이사회와 자문단은 이번 제안을 신중하게 검토했으며 추가적인 평가를 진행할 가치가 있다고 판단했다. 이에 따라 제안의 확실성을 높이기 위해 한화가 오스탈 USA와 관련한 실사를 실시하는 것을 승인했다”고 밝혔다. 이는 적절한 가격이 제시될 경우 오스탈이 최소한 미국 사업부 매각을 검토할 의향이 있음을 보여주는 발언이다.

오스탈의 재무자료에 따르면 이번 거래의 가격은 현금 및 부채가 없는 기준으로 10억5,000만~12억 달러가 될 전망이다.

성명은 “오스탈의 상장주식 인수나 오스탈의 핵심 오스트랄라시아 사업은 이번 제안에 포함되지 않는다. 이를 통해 오스탈의 자주적 조선 임무와 높은 실적을 내고 있는 오스트랄라시아 사업은 완전히 유지되며 계속해서 주주가치를 창출하게 된다”고 밝혔다.

한화는 2024년 4월 오스탈 전체를 인수하기 위한 제안을 내놓았지만, 호주 기업인 오스탈은 미국과 호주 당국의 규제 승인을 받기 어려울 수 있다는 우려를 이유로 이를 거절했다.

다만 당시 오스탈은 한화가 거래 승인 여부에 대한 확실성을 제시할 수 있다면 “추가적인 협의”에는 열려 있다고 밝혔다. 규제 우려에 반박했던 한화는 결국 그해 9월 인수 제안을 철회했다.

한편 한화는 2024년 6월 상선과 군함을 모두 건조하는 필리 조선소를 1억 달러에 인수하겠다고 발표했다.

한화의 필리 조선소는 현재 미국 주립 해양대학에서 훈련함으로 사용되는 국가안보 다목적선(NSMV)을 건조하고 있으며, 미 국방부의 골든돔 미사일 방어체계를 지원하기 위해 NSMV 설계를 기반으로 한 새로운 미사일 사거리 계측함도 건조할 예정이다.

오스탈 USA는 앨라배마주 모빌에 조선 및 지원 시설을 보유하고 있으며, 미 해안경비대와 해군을 위해 강철 및 알루미늄 선박을 건조하고 있다. 여기에는 인디펜던스형 연안전투함도 포함된다.

Hanwha Defense USA seeks to acquire Austal USA in $1.2B potential deal

Hanwha's parent firm previously sought to acquire Austal's parent company in 2024. Now, the two US arms might merge.

WASHINGTON — Hanwha Defense USA, a subsidiary of South Korea’s Hanwha Aerospace, has made a preliminary, non-binding offer to purchase Austal USA, the company announced today.

“Any deal will be contingent on due diligence that permits a thorough eval‎uation of Austal USA’s operations and financials, including newly disclosed information,” Hanwha Defense USA spokesman James Hewitt said in a statement. “Hanwha has made it a priority to significantly contribute to revitalizing American shipbuilding and is exploring a range of options to expand our footprint in the United States.”

Austal USA’s parent company, the Australian-based Austal, said in financial guidance released today that “The Austal Board and its advisers have carefully assessed the Proposal and determined that it merits further eval‎uation, approving Hanwha to undertake due diligence related to Austal USA to improve the certainty of any proposal” — a statement that indicates at least a willingness of Austal to sell its US arm, if the price proves right. 

The deal would come with a $1.05 to $1.2 billion price tag on a cash and debt-free basis, per the Austal financial statement. 

“Neither the acquisition of any publicly traded shares in Austal nor Austral’s core Australasia operations are included in the Proposal, ensuring that Austal’s sovereign shipbuilding mandate and high-performing Australasian business remain fully intact and continue to generate value for shareholders,” per the statement.   

In April 2024, Hanwha put forth a takeover bid for the entirety of Austal, but the Australian company batted down the offer, citing concerns that regulatory approvals from the US and Australia would not come through.

However, Austal said at the time the firm remained open to “further engagement if Hanwha is able to provide certainty on whether a transaction would be approved.” Hanwha, who pushed back on regulatory worries, ultimately rescinded the offer in September.

Meanwhile, Hanwha announced in June 2024 that it would purchase the Philly Shipyard, which constructs both commercial and military vessels. 

Hanwha’s Philly Shipyard builds the National Security Multi-Mission Vessel (NSMV) currently used as a training ship at state maritime academies, and will build a new missile range instrumentation vessel based on the NSMV design to support the Pentagon’s Golden Dome missile shield system.

Austal USA has shipbuilding and support facilities in Mobile, Ala., and constructs steel and aluminum ships for the Coast Guard and the Navy, including the Independence-variant Littoral Combat Ship.
