Belgium-based Nyrstar announced Friday that approximately 82.8mn common shares of Canadian firm Breakwater Resources (TSX: BWR), representing some 92.3% of its issued and outstanding shares on a fully diluted basis, were validly deposited and taken up when the former's offer to acquire the latter expired on August 25.
The offer was conditional upon a minimum acceptance of two-thirds, receipt of all regulatory approvals and no material adverse change in Breakwater's business, Nyrstar said in a statement, adding that all of the conditions were satisfied or waived.
Payment for the deposited shares will be made on August 30.
As more than 90% of the shares were deposited, Nyrstar now plans to launch a compulsory acquisition for the remaining Breakwater shares.
Nyrstar also intends to delist Breakwater's shares from the TSX and to apply to the relevant authorities for the firm to cease to be a reporting issuer under all applicable securities laws.
Nyrstar entered into a binding agreement to acquire Breakwater in June. Under the deal, Breakwater shareholders will receive Cdn$7.00 in cash per common share, representing a total of approximately Cdn$619mn (US$626mn) to be paid by Nyrstar.
Breakwater will also pay shareholders a special dividend of Cdn$0.50 per share, resulting in a total transaction value of some Cdn$663mn on a fully diluted basis.
Breakwater produces zinc, copper, lead, gold and silver concentrates at the Toqui (Chile), Mochito (Honduras) and Myra Falls (Canada) mines. The company also has the Langlois project in Quebec, which is expected to begin production in 1Q12.
Earlier this year, Nyrstar acquired Vancouver-based Farallon Mining in a friendly takeover for roughly Cdn$409mn, and with it the G-9 mine at the Campo Morado property in Mexico's Guerrero state. The underground zinc operation also produces copper, gold and silver as byproducts.
One of the world's largest zinc producers, Nyrstar's Latin American assets also include the Coricancha, Contonga and Pucarrajo polymetallic mines in Peru. | |||
