역외회사는 합법적 조세 회피를 위해 조세피난처에 세운, 역외 금융 센터가 조세 회피를 위해 세운 페이퍼컴퍼니를 말한다.
면제기업, 인터내셔널 비즈니스 컴퍼니이라고도 한다. 한국에서는 보통 유령회사 또는 페이퍼컴퍼니라고 부른다
사전에서 off-shore를 찾아 보면 '앞바다의' '근해의'와 같은 뜻 외에 '국외의', '역외의'라는 뜻이 적혀 있습니다. 마찬가지로 on-shore의 경우에는 '육상의'라는 뜻으로 설명을 해 놓고 있습니다.
