TESTING AGREEMENT

This agreement, entered into on the 1 day of December, 2009 by and between:

Kyung Ku Shim

 (Hereinafter the Licensor)

And

Amerinova Properties, LLC.

32149 Aqueduct Road

Bonsall, California 92003

USA

(Hereinafter the Licensee)

Licensor having hybridized, selected, developed or obtained by assignment, or as an authorized agent or representative, the following plant cultivars listed in Schedule A desires Licensees to test and eval‎uate these new cultivars. The parties of this agreement agree as follows:

1. Licensor, warrants his ownership rights, grants and Licensee agrees to receive, a limited,  non-exclusive, non-transferable License, and authorizes Licensee to receive from the  Licensor plants of these cultivates listed above  owned or controlled by him  for  experimental, demonstrational, and testing purposes only. All plants and propagated material thereof remain property of the Licensor.

2. Licensee agrees to keep adequate records of growth, flowering and other responses, including propagation habits, and to forward this information to the Licensor on a quarterly basis.

3. The testing period shall be for 36 months^*, after which time all plant material of these cultivars, will be destroyed, unless they are entered into cultivation by the directives of the Licensor in writing. The testing period may also be extended by mutual agreement with a written amendment by the Licensor.

4. Licensee agrees not to sell, exchange, lease, donate, or make otherwise available to other parties: vegetative material or flowering plants, cuttings, buds, or shoots capable of, or intended for, the purpose of reproducing vegetative cuttings or plants of these cultivars furnished hereunder without having received prior written permission from the Licensor. It is strictly forbidden to use the plants during the testing period for breeding purposes in any way.

5. This agreement shall be in effect until  3 years (?) to continue testing the keeping qualities of these new cultivars.

*  For flowering test, seeds of Tiger lily it takes 2 or 3 years  for flowering. Bulblet it takes 1 year for flowering. Therefore testing periods shall be 3years.

6. All mutations, sports and/or seedlings occurring during the term of this license must be reported immediately to the Licensor. All mutations, sports and/or seedlings arising during the testing period belong exclusively without question to the Licensor. All shall be maintained by the Licensee until instructions for handling are received in writing from the Licensor.
