Ⅰ. 경영자와 기업가
1. 경영자의 의의
가. 기업경영
⑴ 물적자원(physical resources) : 설비, 토지, 자본 종속적 수동적 요소
⑵ 인적자원(human resources) : 경영자집단과 종업원집단
나. 경영자
기업의 경영활동이 효율적으로 수행되도록 계획과 통제활동을 토해 기업의 성장을 이끌어 가는 사람
2. 기업가의 의의
가. 의의
기업가는 자본을 기업에 투자하고 경영활동을 직접 수행함으로써 그 결과에 대해서도 책임을 부담하는 사람을 말한다(소유경영자, 위험부담자, 수익자). 현대적 의미에서는 기업가란 기업자원의 새로운 결합(혁신활동)과 기업가정신을 통해 환경변화에 적응함으로써 새로운 결합을 형성하는 사람을 말한다.

다. Schumpeter의 기업가정신(entrepreneur)
⑴ 기업가정신
불확실성에 도전하여 새로운 사업기회를 발견하고 사업영역에서 성공적인 기업을 운영하는 개척자 및 모험가로서의 혁신정신을 말한다.
⑵ 기업가정신의 특성(Characteristics of entrepreneurship)
① 열정적 비전(추진력)(The entrepreneur has an enthusiastic vision, the driving force of an enterprise).
② 기업가의 비전은 구체적 아이디어의 모음에 지지(The entrepreneur's vision is usually supported by an interlocked collection of specific ideas not available to the marketplace).
③ 비전실현의 청사진 명확(The overall blueprint to realize the vision is clear, however details may be incomplete, flexible, and evolving).
④ 열정으로 비전촉진(The entrepreneur promotes the vision with enthusiastic passion).
⑤ 끈기와 결단력으로 비전을 실현하는 전략 개발(With persistence and determination, the entrepreneur develops strategies to change the vision into reality).
⑥ 성공에 이를 비전을 낳을 1차적 책임(The entrepreneur takes the initial responsibility to cause a vision to become a success).
⑦ 신중한 위험 감수(Entrepreneurs take prudent risks. They assess costs, market/customer needs and persuade others to join and help).
⑧ 적극적 사고자 및 의사결정자(An entrepreneur is usually a positive thinker and a decision maker).
라. Schumpeter의 혁신이론(innovation theory)
⑴ Creative destruction
Creative destruction, introduced in 1942 by the economist Joseph Schumpeter, describes the process of industrial transformation that accompanies radical innovation. In Schumpeter's vision of capitalism, innovative entry by entrepreneurs was the force that sustained long-term economic growth, even as it destroyed the value of established companies that enjoyed some degree of monopoly power.
⑵ Disruptive technology
A disruptive technology or disruptive innovation is a new technological innovation, product, or service that eventually overturns the existing dominant technology or product in the market. Disruptive innovations can be broadly classified into lower-end and new-market disruptive innovations. A new-market disruptive innovation is often aimed at non-consumption, whereas a lower-end disruptive innovation is aimed at main stream customers who were ignored by established companies.
Ⅱ. 경영자의 유형과 역할
1. 소유와 경영의 분리에 따른 경영자
가. 소유경영자(owner manager)
기업의 초기단계에서 자본가인 출자자가 경영기능도 함께 수행함으로서 실질적으로 기업을 소유・지배하는 경영자를 말한다. 소유경영자의 주된 관심은 자기자본의 수익성(이기적인 영리추구)에 있으며 기업운영이 독단에 흐르기 쉽다.
나. 고용경영자(employed manager)
소유경영자가 자신이 수행하던 경영의 일부를 분담할 경영자를 고용하여 제한된 경영기능만을 수행하는 경영자(유급경영자, salaried manager)를 말한다. 고용경영자의 주된 관심도 출자자인 소유경영자의 이익극대화에 있다.
다. 전문경영자(professional manager, expert manager)
대규모 기업을 효율적으로 경영하기 위해 각 분야의 전문적이고 과학적인 경영지식・경험・능력을 갖춘 경영자를 말한다. 전문경영자는 출자를 제외하고 관리・혁신・위험부담기능을 경영전반에 걸쳐 포괄적으로 수행한다. 전문경영자는 독자적 경영자, 지배적 경영자이며 사회전체이익의 극대화(기업의 사회적 책임)를 수행한다.
2. 계층에 따른 경영자
가. 최고경영층(최고관리층, top management)
⑴ 의의
기업의 전반적인 경영을 책임지는 경영자로서 계층상 최상층에 속한 경영자집ㄷ나을
말한다.
⑵ 기능
환경과 상호작용을 고려하여 기업의 장기적 전략과 목표에 대한 의사결정을 하며 기업경영의 사회적 책임과 혁신기능을 주로 전담한다.
⑶ 최고경영자
회장, 부회장, 사장, 부사장, 상무이사, 전무이사 등의 회사임원이 포함된다.
나. 중간경영층(중간관리층, middle management)
⑴ 의의
최고경영층이 의사결정한 경영전력과 목표에 따라 담당 부문의 업무가 실행되도록 관리하는 경영계층을 말한다.
⑵ 기능
하위경영층을 지휘・감독하거나 최고경영층의 요구와 하위경영층의 능력ㄷ을 조화시키며 상하간의 의사소통을 원활하게 중계하는 역할을 한다.
⑶ 중간경영자
부장, 차장, 과장, 공장장 등이 중간경영층에 포함된다.
다. 하위경영층(하위관리층, low management)
⑴ 의의
각 부문별 중간경영층의 지시에 따라 현장에서 작업을 하는 노동자를 직접 지휘・감독하는 경영층을 말한다.
⑵ 기능
하위경영층(일선관리자, 일선감독자)은 실제로 제품을 생산하거나 서비스를 제공하는 종업원들인 일선노동자들의 일상관리를 담당한다.
⑶ 현장관리층
경영자로서 기업내에서 가장 낮은 단계의 경영자집단이며 사무직의 계장, 대리 및 생산현장의 조장・반장이 이에 속한다.
라. 계층별 경영자의 기능과 능력
⑴ 기본적 의사결정기능
① 전략적 결정(strategic decisions)
② 관리적 결정(administrative decisions)
③ 업무적 결정(operating decisions)
⑵ 경영자가 가져야 할 경영능력
① 기술적 능력(technical skill)
Technical skill involves understanding and demonstrating proficiency in a particular workplace activity. Technical skills are things such as using a computer word processing program, creating a budget, operating a piece of machinery, or preparing a presentation.
② 인간적 능력(human skill)
Interpersonal skill involves human relations, or the manager's ability to interact effectively with organizational members. Communication is a critical part of interpersonal skill, and an inability to communicate effectively can prevent career progression for managers. Managers who have excellent technical skill, but poor interpersonal skill are unlikely to succeed in their jobs. This skill is critical at all levels of management.
③ 개념적 능력(구상적 능력, conceptual skill)
Conceptual skill is a manager's ability to see the organization as a whole, as a complete entity. It involves understanding how organizational units work together and how the organization fits into its competitive environment. Conceptual skill is crucial for top managers, whose ability to see "the big picture" can have major repercussions on the success of the business.
④ 진단능력(diagnostic skill)
Diagnostic skill is used to investigate problems, decide on a remedy, and implement a solution. Diagnostic skill involves other skills—technical, interpersonal, conceptual, and politic. For instance, to determine the root of a problem, a manager may need to speak with many organizational members or understand a variety of informational documents. The difference in the use of diagnostic skill across the three levels of management is primarily due to the types of problems that must be addressed at each level.
⑤ 정치적 능력(political skill)
Political skill involves obtaining power and preventing other employees from taking away one's power. Managers use power to achieve organizational objectives, and this skill can often reach goals with less effort than others who lack political skill. Much like the other skills described, political skill cannot stand alone as a manager's skill; in particular, though, using political skill without appropriate levels of other skills can lead to promoting a manager's own career rather than reaching organizational goals.

3. 경영범위에 따른 경영자
가. 전반경영자(종합경영자, general manager)
⑴ 의의
기업의 경영활동에 대한 총괄적인 전략을 수립하고 실행하며 그에 대한 책임도 부담하는 경영자를 말한다. 직능경영자의 직무범위는 수평적으로 좁고 단순한 반면, 전반경영자의 직무범위는 수평적으로 넓고 다양해서 대체적으로 중간경영자와 하위경영자는 직능경영자에 속하고, 최고경영자는 전반경영자에 속한다.
⑵ 기능
기업전체의 관점에서 모든 경영활동을 조정・통제하는 역할을 한다.
⑶ 중시기능
전반경영자는 각 부문 경영활동의 효율성(efficiency)보다는 전사적 목표달성이라는 효과성(effectiveness)에, 전술적・미시적 경영보다는 전략적・거시적(strategic and macro) 경영을 중시한다.
나. 직능경영자(부문경영자, 기능경영자, functional manager)
⑴ 의의
전반경영자가 기업전체의 차원에서 수립한 경영전략을 마케팅・생산・인사・재무 등 각 부문별로 구체적인 실행계획을 수립하고 실행하는 경영자를 말한다.
⑵ 기능
자신의 부문에 한정해서 업무를 수행한다.
⑶ 중시기능
부문별 효율성을 추구하다보면 기업전체가 균형을 잃고 기업성과에 해가 되므로 부문경영자와 전반경영자의 상호관계 잘 정립되어야 한다.
Ⅲ. 경영자의 기업지배
1. 경영자지배론(theory of managerial control)
가. 의의
경영자지배론이란 기업의 규모가 커지고 소유와 경영이 분리되면서 경영자가 기업의 실질적인 지배자가 된다는 이론이다. 경영자지배론은 경영자가 자본가를 대체하고 새로운 지배계급으로 등장하였다고 주장은 두 가지로 하나는 현대 기업 권력의 원천은 사적 소유로부터 경영지위로 이동했다는 것이고, 다른 하나는 경영자지배기업이 사적 이익보다는 사회적 이익을 추구하는 조직으로 달라졌다는 것이다. Adolf Berle와 Gardiner Means가 1932년 The Modern Corporation and Private Property에서 전개한 이론이다.
나. 근거
⑴ 주식분산으로 대주주는 주주총회에서 전문경영자를 선임할 수밖에 없다.
⑵ 기업규모의 확대와 경영활동의 복잡으로 다양한 이해관계자의 집단이익을 조정하기 위해서는 경영능력과 전문지식을 가진 경영자가 필요하다.
다. 비판
⑴ 급진파의 비판
경영자 지배론에 대한 급진파의 비판은 두 흐름으로 양분되어 나타났다. 하나는 권력의 원천이 소유로부터 경영지위로 이동했다는 것을 인정하지 않고 금융자본의 지배가 계속 관철된다고 보는 입장이다. 대기업에서 개인적 소유는 무의미해졌지만, 기업지배권을 승계한 사람은 경영자가 아니라 금융기관이고 이들이 경영자의 재량권을 제약하고 있다는 것이다(Zeitlin, 1974). 다른 하나는 경영자 지배기업의 등장을 인정하지만 이 기업이 사회적 이익을 추구하는 조직으로 전환되었다는 주장에는 부정적인 입장이다. 경영자지배론의 주장중 현대 대기업의 지배권은 소유자로부터 경영자로 넘어갔다는 데에 동의하지만, 경영자가 사적 이익보다는 사회적 이익을 추구하는 중립적 사회계급이라는 주장은 받아들이지 않았다. 그 대신 소규모 기업으로서 경쟁시장에 의존하던 고전적 기업과 비교할 때 현대 대기업은 독과점시장에서 이윤극대화를 추구하기에 훨씬 더 유리한 위치에 있다고 보았다.
⑵ 주류의 비판: 대리인이론
경영자지배론에 대한 주류의 비판은 1970년대 경영자가 지배하는 미국 대기업의 경쟁력 약화를 배경으로 한다. 1970년대 이후 RCA, U.S. Steel, 자동차산업의 빅스리(Big Three), 제록스, IBM 등 미국의 거대 경영자 지배기업들의 경쟁력이 약화되면서 경영자주의에 대한 비판자들이 나타났다. 이들은 1970년대 미국 기업의 경쟁력 약화는 경영자가 주주와 기업 이익에 상반되는 방향으로 의사결정을 내렸기 때문이라고 설명하였다. 그리고 경영자에 대한 기업내부 감시의 허점을 지적하고 기업지배권시장을 중심으로 하는 외부 시장규율을 강화해야 한다고 주장하였다(Jensen, 1993). 경영자주의 비판의 선봉에 나선 것이 대리인이론(agency theory)으로 주주는 기업의 주인이고 경영자는 주주의 대리인이다. 주인인 주주는 대리인인 경영자를 감독하며 대리인이 권한을 남용하지 못하도록 감시하는 제도적 방안을 강구해야 한다. 이 때 경영자가 자신의 권한을 남용하거나 잘못 사용하는 것을 감시하고 규율하는데 드는 비용이 대리인 비용(agency cost)이다(Jensen & Meckling, 1976). 대리인이론은 이와 같이 사유재산권에 바탕을 둔 고전적 기업 개념을 소기업뿐 아니라 경영자가 지배하는 대기업에도 적용시킨 것이다.
2. 경영자혁명론
가. 의의
James Burnham (1905~1987)은 1941년 The Managerial Revolution: What Is Happening in the World에서 자본가가 그 출자지분에 따라 기업을 지배하고 사회전체에 중요한 영향을 미치고 있으나 전문경영자가 경영관리의 전문적 기술자로 등장함에 다라 사회에서 가장 중요한 지위를 차지하게 되고 궁극적으로 사회의 지배계급이 될 것이라고 했다.
나. 경영자혁명
자본주의가 발달함에 따라 소유와 경영이 분리됨으로써 기업의 지배권이 주주. 노동자도 아닌 제3계급인 경영자에게 귀속될 것이라는 것으로 자본가사회(capitalist society)에서 경영자사회(managerial society)에로의 전환을 의미한다.
