2. 용어의 정의 (3)

1) Liquidated Damages
지체상금으로 번역되며 Contract Time을 지키지 못한 경우에 시공자가 발주자에게 지급하여야 할 배상금을 의미합니다. FIDIC도 1999년판 이전까지는 Liquidated Damages라는 용어를 사용하였었는데 1999년판부터는Delay Damages(지연 배상금)라는 용어로 바꾸어 사용하고 있습니다. 법률 용어를 피하면서, 보다 직관적으로알 수 있도록 수정한 것으로 이해됩니다. 내용이 달라진 것은 아닙니다.

2) Contract Sum
AIA Section 9.1.1에 “The Contract Sum is stated in the Agreement and, including authorized adjustments, is the total amount payable by the Owner to the Contractor for performance of the Work under the Contract Documents.”라 정의하고 있습니다. Agreement에 적시된 금액을 의미하면서 adjustments를 포함하는 것으로 하고 있습니다. FIDIC은Accepted Contract Amount와 Contract Price라는 두 개의 용어를 사용하고 있는데, Accepted Contract Amount는Letter of Acceptance에 기재된 금액을 의미하고 Contract Price는 Accepted Contract Amount 이후 발생하는adjustments를 포함하는 것으로 하고 있습니다. AIA는 Accepted Contract Amount라는 용어를 사용하지 않고 있는데, Agreement로 계약을 성립시키기 때문입니다(FIDIC은 Letter of Acceptance로 계약이 성립되도록 하고 있습니다). AIA나 FIDIC 모두 Contract Price를 같은 의미로 사용하고 있다 할 것입니다.

3) Site
현장으로 번역되며, AIA의 경우 별도로 정의하지 않고 Section 3.13을 통해 “The Contractor shall confine operations at the site to areas permitted by applicable laws, statutes, ordinances, codes, rules and regulations, lawful orders of public authorities, and the Contract Documents and shall not unreasonably encumber the site with materials or equipment.”라고 함으로써, Contractor의 시공지역을 법적요건(또는 Contractor’s Documents)에 따라 제한하는 것으로 하고 있습니다. 반면 FIDIC은 Sub-Clause 1.1.74에 Site를 “means the places where the Permanent Works are to be executed and to which Plant and Materials are to be delivered, and any other places specified in the Contract forming part of the Site.”라고 정의함으로써, 구체적으로 현장이 특정되도록 하고 있는 차이가 있습니다. Contractor가 시공을 위해 확보되어야 할 부지를 의미하므로, 계약시 관련 내용을 세심히 검토하여 불이익이 발생하지 않도록하여야 할 것입니다.

4) Shop Drawings
AIA Section 3.12.1에 “Shop Drawings are drawings, diagrams, schedules, and other data specifically prepared by the Contractor or a Subcontractor, Sub-subcontractor, manufacturer, supplier, or distributor to illustrate some portion of the Work”이라고 정의되어 있으며, FIDIC에는 없는 정의입니다. Shop Drawing의 수준에 대한 논쟁이 종종 발생하는 바, engineering이 필요한 수준은 Contractor의 의무에 포함될 수 없음을 이해하여야 합니다. 이와 관련하여, AIA Section 3.12.10에 “The Contractor shall not be required to provide professional services that constitute of architecture or engineering…”이라고 하고 있음을 참고하시기 바랍니다.
