7. Fleet National Bank v. Samuel P. Colt et al.
Ⅰ. Fact
- Following Samuel P. Colt (testator)’s death on August 23, 1921, the executor and trustee began to execute the testamentary disposition of a portion of the estate of the testator under his will. In the twenty-seventh clause in will, the testator created a trust consisting of certain real estate in the town of Bristol, Rhode Island, to be held for his children and grandchildren, a portion of which was to be made available for their use and enjoyment during their lives. In addition, the twenty-eighth clause provides for the distribution of the testator’s residuary estate, which was also placed in trust, per stirpes, not per capita. The residuary estate was divided into six equal shares, three of which were to be conveyed to the testator’s two sons Russell G. Colt and Roswell C. Colt, and to his brother LeBaron B. colt respectively as the first life tenants. Also, living at the time of the testator’s death were three children of LeBaron, three children of Russell, and one child of Roswell (Elizabeth) and thereby the testator’s four grandchildren and three nieces constitute the second life tenants. However, Caldwell C. Colt, one of the children of Roswell, was born after the death of the testator. Caldwell leaves two children, Samuel Peshmalyn Colt (born on October 16, 1956) and Julia Wedgewood Colt (born on June 13, 1960). Upon Caldwell’s death in 1985, the issue, whether Caldwell’s children may inherit their father’s share of the testator’s estate, arose.
Ⅱ. Issue
- Whether the children of a second life tenant, which children were not lives in being at the death of either their great grandfather Samuel P. Colt (the testator) or their first life tenant grandparent, are entitled to receive their second life tenant parent’s share of Colt’s estate.
Ⅲ. Rule
Orthodox rule against perpetuities
- The orthodox rule against perpetuities prohibits the creation of future interests or estates which by possibility may not vest within a life or lives in being at the time of the testator’s death plus twenty-one years.
Section 34-11-38 in General Laws 1956 (Modification of the rule against perpetuities)
Wait-and-see / cy pres doctrine; The period of perpetuities be measured by actual rather than possible events, and the possible measuring lives bear a causal relationship to the vesting or failure of an interest.
Ⅳ. Application
- In Colt v. Industrial Trust Co., (1929) case interpreted the twenty-seventh or twenty-eighth clause at first. The court held that the word “grandchildren” in the twenty-seventh clause meant only those grandchildren living at the time of his death, since there is possibility which the twenty-seventh clause may violate the rule against perpetuities on the ground that more grandchildren would be born after the testator’s death and the survivor of such grandchildren would not be determined within a life in being plus 21 years. Hence, Caldwell was not able to be inherited under the Colt’s court reasoning because he was born after the testator’s death. However, In Industrial Trust Co. v. Wilson (1938) case held that Roswell’s’ children who born after the death of the testator were entitled to share with Roswell’s other life in being child, Elizabeth Stansfield, in the trust income that their father would be receiving under the twenty-eighth clause. Moreover, the testator intended that the children of the second life tenants should each receive a distribution of twenty-seventh and twenty-eighth clause unless such distribution would violate the rule against perpetuities. Although the orthodox rule against perpetuities which was designed to prevent restraints on the alienation of property that may be perpetual or unreasonably long could apply in this case and prevail over the intent of the testator, wait-and-see approach and the cy pres doctrine as reformation of the rule against perpetuities should apply to postpone such consideration until the contingency actually arises, in determining the validity of the remainder interests in the children of the afterborn grandchildren in the instant case. Examining the facts to apply the wait-and-see approach to the rule against perpetuities, Caldwell’s sister Elizabeth Stansfield was the sole survivor of the family members alive at the testator’s death, and she is causally connected to Caldwell’s children since the amounts of the children’s shares depend upon the survival of Elizabeth, she is a life in being and an acceptable measuring life. Therefore, the remainder interest of Caldwell’s children has vested within the time period set by the rule against perpetuities, so testator’s gift to them is valid.
Ⅴ. Conclusion
- Caldwell’s children, Samuel Peshmalyn Colt and Julia Wedgewood Colt are entitled to receive their second life tenant parent’s share of Colt’s estate.

A freehold estate is an estate in real property that is of uncertain duration. The two basic types of freehold estates in U.S. are the fee simple absolute and the life estate. The fee simple absolute is inheritable, but the life estate is not. A fee simple absolute is the most extensive interest in real property that an individual can possess because it is limited completely to the individual and his heirs, assigns forever, and is not subject to any limitations or conditions. The person who holds real property in fee simple absolute can do whatever he wants with it such as selling it or disposing of it by will. The law views this type of estate as perpetual. Upon the death of the owner, if no provision has been made for its distribution, the owner’s heirs will automatically inherit the land. (cf. 공산주의 국가는 fee simple X) A life estate (‘영구임대아파트’와 비슷한 개념) is an interest in property that does not amount to ownership because it is limited by a term of life, either of the individual in whom the right is vested or some other person, or it lasts until the occurrence or nonoccurrence of an uncertain event. A life estate is usually created by deed but can be created by a lease. No special language is required provided the grantor’s intent to create such an estate is clear. The grantee of a life estate is called the life tenant. A life tenant can use the land and dispose of his interest to another person but cannot do anything that would injure the property or cause waste. To sum up, a life estate grants the holder use of the estate for the duration of a life, often that of the tenant, and at the end of the life, the estate will transfer to another by a reversion or remainder.
이 케이스에서는 testator의 아들 Roswell이 testator로부터 life estate를 받음, Roswell이 살아있는 동안 누리다가 죽은 이후엔 다음 세대로 내려가게 됨, 그리고 2nd generation도 life estate를 받는 것이므로 1st, 2nd generation은 property를 willfully dispose할 수 없음. 하지만 3rd부터는 fee simple! (fee simple은 future interest가 아닌 present interest)

현재에 유언을 작성하면 자녀는 future interest를 갖게 되긴 하지만, 유언자가 죽은 이후에 효력이 발생함 (cf. 유언자가 살아 있을 때 효력을 발생하게 하는 건 증여에 해당함)
여기서의 future interest는 태어나지 않은 손주나 증손주 그리고 그 밑의 후손들까지 재산을 상속하겠다고 했으니 미래에 본인이 죽은 이후에도 계속해서 재산을 control하겠다는 것인데, 그렇게 되면 많은 문제점이 발생함. 문제점이라 함은, 가족 간의 분쟁 + no distribution to society 등이 있음 --> 그래서 Rule against perpetuities가 정립됨

유언자(피상속인)이 후대의 자손들에게 future interest를 부여해서 죽은 후에도 그 재산을 control할 수 있는지, 그리고 더 나아가 이를 제한하는 rule against perpetuities와 같은 법이 존재하는지에 대해 (1)상속, (2)유증, (3)사인증여의 측면으로 접근해볼 수 있습니다. 결론적으로는 future interest와 rule against perpetuities 모두 존재합니다.
(1) 상속 (법정상속)
먼저 민법에 따르면, 상속은 사망으로 인하여 개시되고, 상속에 있어서 1. 피상속인의 직계비속, 2. 피상속인의 직계존속, 3. 피상속인의 형제자매, 4. 피상속인의 4촌 이내의 방계혈족 순위로 상속인이 됩니다. 이와 함께 피상속인이 사망한 때로부터 피상속인의 권리의무가 포괄적으로 상속인에게 승계되기 때문에 유언자의 통제권이 작동될 여지가 없습니다. (민법 제1005조)
(2) 유증 (유언상속)
상속과 유증은 사후에 재산을 무상 이전한다는 점에서 동일하지만, 유증은 유언을 통한 망자의 의사표시가 필요하고, 상속은 유언을 남기지 않고 사망했을 경우를 뜻하므로 분명한 차이점이 있습니다. 민법 1073조 제2항은 '유언에 정지조건이 있는 경우 그 조건이 유언자의 사망후에 성취한때에는 그 조건성취한 때로부터 유언의 효력이 생긴다'고 규정하고 있고, 1088조 제1항은 '부담있는 유증을 받은 자는 유증의 목적의 가액을 초과하지 아니한 한도에서 부담한 의무를 이행할 책임이 있다'고 규정하고 있습니다. 이러한 규정으로 볼 때 한국 민법에 의하더라도 유언자의 통제권이 일정한 범위 내에서 작동할 수 있다고 해석됩니다. 문제는 통제권이 작동 가능한 범위가 어디까지 인지입니다.
한편 사람은 생존하는 동안에 권리의무의 주체(권리능력)가 되고(민법 3조), 예외적으로 일정한 경우에 한하여 태아에게도 권리능력이 인정되는데 민법 1004조는 1000조 제3항의 규정을 수증자에게 준용한다고 규정함으로써 유증에 관하여 태아는 출생한 것으로 보기 때문에 유언자의 사망시에 태아였던 자에 대한 유증은 유효합니다. 그러므로 유증자가 유언시에 포태될 필요는 없어도 최소한 유증자의 사망시에는 포태된 상태에 있어야 태아임에도 권리능력이 인정됩니다. 즉, 후대의 자손들은 유증자의 사망 당시에 포태된 상태에 있을 수 없기 때문에 유증을 받을 수 없다는 것입니다. 따라서 한국도 일종의 rule against perpetuities가 존재한다고 보여집니다. 유언자가 죽을 당시에 태어나 있는 자 까지만 future interest를 부여해 상속받을 수 있다며 유언의 영속성을 제한하고 있기 때문입니다. 참고로 민법 147조 제1항은 '정지조건이 있는 법률행위는 조건이 성취한 때로부터 그 효력이 생긴다'고 규정하고 있기 때문에 조건부 유증의 경우 정지조건에 합당한 지 여부는 검토가 필요합니다.
(3) 사인증여
마지막으로 부관부 유증과 비슷한 개념으로 사인증여가 있습니다. 유언자가 상속재산에 대하여 타인에게 자신의 재산을 무상으로 주는 일방적 행위인 유증과는 달리, 사인증여는 증여자 생전에 수증자와 미리 계약을 맺는 것입니다. 하지만 증여자의 사망으로 인하여 그 효력이 나타난다는 점에서 사인 증여는 그 내용이 유증과 유사하므로 유증에 관한 규정을 준용하고 있기에 사인증여 또한 유언자가 죽을 당시 생존해 있는 자만이 future interest를 갖게 됩니다.

* 유언자가 눈을 감을 때 살아있는 자: life in being
죽은 이후에도 그 이후의 자손들을 계속해서 컨트롤하는 규정을 만들어놓지 않으면 재산이 제대로 상속되지 못하고 금방 사라져버릴 위험이 있어서 유언장으로 규정해놓은 것
그런데 너무 오랫동안 control 해버리면 많은 문제가 생기니까 control이 가능한 기간을 제한해서, 유언자가 죽는 날 태어난 사람이 죽고 나서 21년을 더한 날까진 규정이 컨트롤할 수 있음
그 이후에 계속 분배하거나 그 이후를 규정하는 유언을 작성한 것은 void! (Rule against perpetuities)
그런데, 그 기간을 통틀어서 고려해봤는데 유언자의 의도대로 이행이 되지 않고 시간이 더 걸릴 가능성이 단 하나라도 있으면 무효인 유언이라는 것이 가능성 (Possibility)의 이론!
Ex1) Blackacre into trust for A and her heirs, but if liquor is ever sold on the property, then to B and her heirs. A is measuring life. RAP violation?
Yes, A가 죽은 이후 + 21년이 지나서 liquor가 팔릴 수 있는 가능성 (possibility)가 있기 때문! (+ B가 살아있든 아니든 상관 없음, 여기서 measuring life는 A이므로 A에 초점을 맞춰야 함)
- Fertile octogenarian rule
: any woman can bear her baby at the age of 80s.
Ex2) Suppose that a will devise Blackacre to A for her life and then to the first of A’s children to reach 25 yrs. A has 3 children; 15yrs old, 10yrs old, 5yrs old but they all died before A died. A is 85yrs old.
A가 87세에 죽었는데 그 시점에 위 세 아이들 제외하고 3살의 baby가 있었다면: 3살 + 21년 = 24살 --> 25살에 도달하지 못했으므로 instrument is INVALID!
하지만 만약 baby가 5살이었다면: 5살 +21년 = 26살 --> 25살이 지났으므로 instrument is VALID!
따라서 85세에 아이를 낳을 수 있다고 해도 rule against perpetuities에 위배되지 않을 수 있음
그리고 만약 세 아이들이 죽지 않았다면: 첫째 아들 --> 15살 + 21년 = 36년 (VALID), 둘째 아들 --> 10살 + 21년 = 31살 (VALID),
막내 아들 --> 5살 + 21년 = 26살 (VALID)

이 유언장이 rule against perpetuities에 위배되는지 파악하려면 이 life tenant들이 언제 죽었는지를 알아야 함, 그 날에 plus 21년을 하는 날 까지가 유언장이 유효하기 때문

따라서 1921년 8/13일에 살아있던 자가 죽고 나서 거기에 +21년 그 기간 안에 저 증손주가 태어났다면 (1956년이 그 기간 안에 들어간다면) 상속받게 되는 것
따라서 어떤 life in being을 찾아서 measuring life로 삼아야하는지가 관건! 이 케이스는 per stirpes 이므로 Roswell이 measuring life, 기준이 됨 (cf. 만약 Caldwell이 살아있었다면 Caldwell이 measuring life가 되었을 것) 왜냐하면 Roswell이 죽으면 per stirpes이므로 그 밑에 있는 자손들이 재산을 나눠 갖기 때문에 친척들은 고려 대상이 아님 (per stirpes에 의하면 친척들은 share와 상관 없기 때문)

그래서 orthodox rap rule에 따르면 Samuel과 Julia는 각각 1956년 10월 16일, 1960년 6월 13일, 즉 rap 범주 내의 기간 이후에 태어났으므로 상속 못 받음
하지만 너무 가혹한 것 같아 최대한 유언자의 의도대로 해주려고 등장한 예외 rule
: “wait and see” doctrine and cy pres doctrine, 후손들이 상속받을 때가 됐을 때 실제로 가능성이 있지를 판단하는 것
이 법원은 wait and see와 cy pres doctrine을 적용하기로 결정함
즉, 이 케이스를 통해 Rhode Island는 정통 rule의 예외 (wait and see, cy pres doctrine)를 적용한다는 것을 알 수 있음

--> Elizabeth는 Roswell 가족 중에서 유언자가 죽을 때 살아있었던 유일한 life in being이었고, 현재(케이스 당시) 까지 살아있음
원칙적으로는 상속분을 계산할 때 per stirpes이기 때문에 양 옆은 고려하지 않고 Caldwell만 고려되지만, 예외를 적용해 measuring life를 Caldwell 말고도 찾아보게 해준다는 것, 다만 Roswell 직계 가족 중에서만 찾고, causal relationship이 있는 자여야 함. (as near as possible)

Roswell 자손들은 4명이므로 (Elizabeth 포함) 각각 1/4씩 갖게 됨, 그리고 Roswell의 자식 중 한명이자 Samuel, Julia의 아버지인 Caldwell이 죽으면 Samuel과 Julia가 Caldwell의 몫인 1/4의 몫을 각각 1/8씩 나눠 갖게 됨
그런데, Elizabeth가 Roswell보다 먼저 죽었다면, Roswell의 나머지 자손 3명이 1/3씩 나눠 갖게 됨
그래서 Elizabeth가 먼저 죽는지 나중에 죽는지에 따라 상속받는 몫이 달라지게 되므로 causal relationship이 있는 관계라는 것

한국에서 3세대 밑의 자녀들에게 유언상속하는 것은 불가합니다. 유언을 통해 상속을 받게 되는 유증자는 유언자가 죽을 당시 자연인인 상태, 즉 life in being만이 상속받을 수 있는바, 이를 넘어 유언자가 후대손까지 통제할 권한이 없기 때문에 유언자가 죽을 당시 태어나지 않았을 3세대 밑의 자녀들에게 재산을 상속하겠다는 유언은 효력이 없습니다. 덧붙여 한국엔 RAP; life in being + 21년이라는 룰은 존재하지 않지만 life in being에게만 유증하도록 하여 유언의 영속성을 제한하고 있습니다!
