1. 서 론 국제간 거래에선, 서식의 싸움이라고 할수 있을정도로 주도권형성에 중요한 역할을 합니다.@.@ 만약 바이어's 마켓의 경우에는 수입상이 제공하는 계약 서식과 조건에 보통 수출상이 싸인을 하겠죠, 그러나 의외로 수출상이 미리 준비한 서식,조건에 수입상이 싸인하는 경우도 있기 때문에 미리 준비하는 자세가 필요합니다. 흔히 실무에서 Purchase Order만 받고 계약으로 추정하고 물품을 제조하는 경우를 볼수 있다, 이는 완전한 계약이 아니고 취소로 이어지는 경우도 있다, 솔직히 Purchase Order의 경우 서로 신뢰하지 않고는 매우 어려운 경우가 많다. 계약이란,, 즉 대립하는 양 당사자인 매도인과 매수인의 의사의 표시의 합치라는 것!! 아무리 강조해도 지나치지 않음;;
2. 국제 비즈니스의 계약서가 법적 구속력(Legal Binding)을 갖추기 위한 요소 청약(Offer)과 승낙(Acceptance) 현실적인 동의(Reality of Consent) 권리와 의무의 상호간의 대가성 있는 교환(Consideration) 적법성(Legality : 당사자간의 특약인 계약이 강행법에 위배되지 않을것) 계약체결 능력(Contractual Capacity : 계약의 체결이 있는 정당한 당사자의 계약체결) 문면성(Requirements of Written Contract : 단순한 법리상의 이론에 따르면 문면을 갖추지 못한경우도 성립했다고 볼수 있으나, 현실적으론 갖추는게 필수다.)

4. 착화통지처(Notify Party) 선화증권상에 수입항에 적화가 도착시 운송인이 이의 내도를 알리게 되는 상대방으로 보통 수입상이나, 대리인인 관세사가 기록되며, 신용장 상에는 일반적으로 notify Accountee로 기록되어 수입상이 착화통지처가 됨.
5. 연계무역 동일한 거래의 당사자간에 수출과 수입이 연계된 무역거래 이에 물물교환(Barter System), 구상무역(compensation Trade),대응구매(Counter Purchase), 산업협력(Industrial Cooperation)이 있음.
6. 물물교환(Barter System) 국제거래시 직접적인 대금결제를 하지 않고 상품을 1대1로 교환하는 방식으로 환거래가 발생하지 않음
